{"id":7793,"date":"2023-10-11T08:27:53","date_gmt":"2023-10-11T08:27:53","guid":{"rendered":"https:\/\/www.sellaresga.com\/?p=7793"},"modified":"2023-10-11T08:27:55","modified_gmt":"2023-10-11T08:27:55","slug":"com-funciona-el-consell-dadministracio-en-una-societat-limitada","status":"publish","type":"post","link":"https:\/\/sellaresga.com\/ca\/com-funciona-el-consell-dadministracio-en-una-societat-limitada\/","title":{"rendered":"Com funciona el Consell d&#8217;Administraci\u00f3 en una Societat Limitada?"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">Si la vostra empresa \u00e9s una Societat Limitada (SL) o ha experimentat un creixement amb l&#8217;entrada de nous socis, ha de comprendre la gesti\u00f3 i el funcionament dels aspectes primordials per a la societat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">La Llei de Societats de Capital determina si ha d&#8217;optar per un administrador \u00fanic, dos mancomunats, solidaris o un Consell d&#8217;Administraci\u00f3. Avui ens enfoquem en aquesta darrera opci\u00f3.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><br>El Consell d&#8217;Administraci\u00f3 ha de tenir de tres a dotze membres, tenint en compte la incorporaci\u00f3 d&#8217;un president i secretari, essent possible nomenar vicepresident i vicesecretari. L&#8217;elecci\u00f3 dels membres es fa amb una votaci\u00f3 durant la Junta General de Socis,&nbsp;continuant&nbsp;amb els estatuts i les lleis, aquests tindran les mateixes responsabilitats i drets que els administradors de l&#8217;empresa.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">El Consell es reuneix trimestralment i reflecteix les seves discussions i decisions en actes signades pel president i el secretari. Es permet fer les reunions per videoconfer\u00e8ncia i acords escrits. Per evitar problemes legals heu de tenir en compte el seg\u00fcent:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Convoca les reunions el president. Tamb\u00e9 ho poden fer 1\/3 dels membres del Consell d&#8217;Administraci\u00f3 sol\u00b7licitant-ho al president si aquest no ho hagu\u00e9s fet.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; En els estatuts ha de constar de manera espec\u00edfica, quants consellers es requereixen per constituir el Consell.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&#8211; Acordar si els estatuts es poden establir amb majoria espec\u00edfica o si requereix que hi hagi m\u00e9s vots a favor o en contra. Tamb\u00e9 \u00e9s v\u00e0lid que en situaci\u00f3 d&#8217;empat el president del Consell tingui un vot de qualitat.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Per gestionar aquest \u00f2rgan administratiu conv\u00e9 nomenar un o m\u00e9s consellers delegats. Si es designa un conseller delegat cal signar un contracte aprovat per dos ter\u00e7os dels membres del Consell. S&#8217;hi defineixen les obligacions que se&#8217;ls assignaran juntament amb la seva remuneraci\u00f3. No obstant aix\u00f2, hi ha tasques que no es poden delegar, com els informes financers, el nomenament o la convocat\u00f2ria de les reunions generals.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Un dels avantatges del Consell d&#8217;Administraci\u00f3 \u00e9s l&#8217;oportunitat de prendre decisions en un proc\u00e9s de discussi\u00f3 i consens entre els consellers, contribuint a agilitzar aquells acords de m\u00e9s rellev\u00e0ncia per a la societat.
